Terms of Service

PEx Recovery Solutions Ltd., Project Exodus SA NPC & Exodus Recovery Applications

Introduction

  1. This Terms of Service constitutes a legal agreement between you and PEx Recovery Solutions Ltd (herein referred to as “PROJECT EXODUS”), governing your access to and use of the Services.
  2. By using the Services, you also agree to the PROJECT EXODUS Privacy Policy and any additional terms applicable to specific Services that PROJECT EXODUS may offer.
  3. By accessing the Services, you agree to be bound by these Terms. You must be at least 18 years of age to use the Services, or have obtained parental or guardian consent if you are younger.

No Medical Advice

  1. Nothing in the Services constitutes medical advice, diagnosis, or treatment. PROJECT EXODUS is not a medical organisation and does not provide medical advice of any kind.
  2. Users are advised to consult qualified healthcare providers regarding any medical questions, conditions, or treatments.

Services

  1. “PROJECT EXODUS Services” means the following:
    1. In-person services — including education, training, mentorship, outpatient care, group facilitation, recovery coaching, and counselling — whether delivered in person or online via websites, WhatsApp, Telegram, Facebook, and Instagram;
    2. Content — information, text, graphics, photos, audiovisual material, and data; and
    3. Software-as-a-service — computer programs made available via websites and messaging or social platforms.

License Grant

  1. PROJECT EXODUS grants you a personal, territorially unrestricted, non-exclusive, non-transferrable licence to use the Services, Software, and Content for the duration of this Agreement, subject to your compliance with these Terms.

Licensed Application End User License Agreement

  1. Apps made available through the App Store are licensed, not sold, to you. Your licence to each App is subject to your prior acceptance of either the App Store's Standard EULA or a Custom EULA. Apple Inc. (“Apple”) is a third-party beneficiary of the Standard EULA, with the right to enforce it against you.
  2. Scope of License: The licence granted to you is non-transferrable. You may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not transfer, sublicense, copy, reverse-engineer, disassemble, decompile, modify, or create derivative works of the Licensed Application or any part thereof.
  3. Consent to Use of Data: The Licensor may collect and use technical data and related information about your device, system, application software, and peripherals to facilitate the provision of software updates, product support, and any other services related to the Licensed Application.
  4. Termination: This Standard EULA is effective until terminated. Your rights under this licence will terminate automatically if you fail to comply with any of its terms.
  5. External Services: The Licensed Application may enable access to third-party services and websites. You agree to use such External Services at your sole risk. The Licensor is not responsible for examining or evaluating the content or accuracy of any third-party services. You agree not to use External Services to harass, abuse, stalk, threaten, or defame any person or entity.
  6. No Warranty: You expressly acknowledge and agree that use of the Licensed Application is at your sole risk. The Licensed Application is provided “as is” and “as available” without warranty of any kind. The Licensor disclaims all warranties, express or implied, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement.
  7. Limitation of Liability: To the extent not prohibited by applicable law, the Licensor shall not be liable for personal injury or any incidental, special, indirect, or consequential damages whatsoever. The Licensor's total liability shall not exceed fifty dollars ($50.00).
  8. Export Compliance: You may not use or otherwise export the Licensed Application except as authorised by United States law and the laws of the jurisdiction in which the Licensed Application was obtained. You represent that you are not located in a US-embargoed country or on any US government prohibited parties list.
  9. Governing Law: This licence is governed by the laws of the State of California, with jurisdiction in Santa Clara County courts, except that EU, Swiss, Norwegian, and Icelandic citizens are governed by the law of their usual place of residence.

Terms of Service

  1. Without the prior written consent of PROJECT EXODUS, you shall not:
    1. copy or reproduce the Services;
    2. dispose of or otherwise deal in the Services to any third party;
    3. sub-license the Services to any third party;
    4. delete any proprietary notices contained in the Services;
    5. reverse-engineer, disassemble, or decompile the Services;
    6. create derivative works based on the Services;
    7. make the Services available to any third party without authorisation;
    8. use the Services if you are under 18 years of age without parental or guardian permission;
    9. use the Services for any purpose other than its intended purpose;
    10. use the Services for anything other than personal and private use; or
    11. interfere with or impair any other person's enjoyment or use of the Services.

Access

  1. The Services are accessed by means of a username and password. You are responsible for protecting your credentials and keeping them secret and confidential.
  2. If your credentials are shared, whether intentionally or otherwise, you accept full responsibility for all consequences arising therefrom, including any unauthorised purchases made using your account.
  3. PROJECT EXODUS is not responsible for any loss or damage arising from unauthorised access to your account.
  4. You are entitled to install the Services on multiple devices, but the Services typically do not allow multiple concurrent access sessions.
  5. PROJECT EXODUS reserves the right to create limits on use and storage at its sole discretion and without prior notice.

Development

  1. PROJECT EXODUS and the Services are constantly innovating. PROJECT EXODUS reserves the right to modify, adapt, or discontinue any Service temporarily or permanently, with or without notice to you.

Privacy

  1. Your use of the Services and the information you provide is subject to the PROJECT EXODUS Privacy Policy.
  2. Accessing the Services constitutes your consent to the collection of Personal Information, including its transfer, storage, processing, and use as described in the Privacy Policy.
  3. The Software communicates automatically with PROJECT EXODUS servers for the following purposes:
    1. Automatic Software updates — the Software sends and receives information to keep itself up to date, typically without notification;
    2. Error reporting and correction — the Software sends error data to PROJECT EXODUS computers for analysis and correction; and
    3. Anonymised usage data — the Software collects anonymised usage data to improve the Software.
  4. These features cannot be disabled. By accessing the Services, you consent to automatic Software communication, updates, error correction, and anonymised data collection without further notice.

Intellectual Property Rights

  1. You acknowledge that all intellectual property rights, including copyright, trademarks, and rights of confidentiality, in the Services remain vested exclusively in PROJECT EXODUS.
  2. The Services and Trade Marks used in relation to the Services are proprietary to PROJECT EXODUS.
  3. You agree not to infringe the intellectual property rights of PROJECT EXODUS and not to assist any third party in doing so.

Disclaimer of Warranty

  1. The Software is provided “as is” without warranty of any kind. PROJECT EXODUS specifically disclaims any implied warranty of merchantability, fitness for a particular purpose, and non-infringement.
  2. PROJECT EXODUS does not warrant that the Services will meet your requirements, achieve any particular result, or be uninterrupted, timely, secure, or error-free.

Limitation of Liability

  1. PROJECT EXODUS shall not be liable for any damages — including incidental, direct, indirect, special, or consequential damages, loss of business profits, business interruption, or loss of information — even if PROJECT EXODUS has been advised of the possibility of such damages.
  2. PROJECT EXODUS shall not be liable for any modification or discontinuance of any Service, or for any resulting losses to you or to any third party.

Payment for the Services

  1. By subscribing to any Paid Services, you agree to pay the applicable fees as they fall due. All fees are non-refundable except as required by applicable law.
  2. You may cancel a Paid Service at any time; however, no refunds or credits will be issued upon cancellation.

Updating of these Terms of Service

  1. PROJECT EXODUS reserves the right to amend — by addition, alteration, or deletion — all or any part of these Terms at any time. Amendments become effective upon being posted on the website.
  2. Your continued use of the Services after any amendment constitutes your acceptance of the updated Terms.

Territory of Use

  1. The Services are not intended for any particular country or territory. PROJECT EXODUS makes no representation that the Services are applicable or appropriate for all locations.
  2. If you access the Services from a territory where such access is illegal, you do so at your own risk and are solely responsible for compliance with applicable local laws.

Termination

  1. PROJECT EXODUS may suspend or terminate your right to use the Services at any time, at its sole discretion and without prior notice, including in the event of a breach of these Terms.

General

  1. This Agreement constitutes the entire and sole agreement between the parties and supersedes all prior commitments, undertakings, or representations whether oral or written.
  2. This Agreement is governed by and shall be interpreted in accordance with the law of the Republic of South Africa, and the Courts of South Africa shall have jurisdiction over all disputes arising out of or in connection with this Agreement.
